Research Directions will not commence work for any client unless there is, in its view, a great likelihood of success. All work undertaken will be performed with best endeavours. However, as there is no certainty of any particular result from research, a successful outcome cannot be guaranteed.

All employees of Research Directions are required as part of their employment agreements to maintain in confidence all information acquired by them in the course of their employment. In order to protect the position of Research Directions in its role as inventor, the client agrees to maintain in confidence any confidential material supplied by Research Directions until a decision is made with respect to the protection of any novel work.

In the event that the research undertaken as part of the contract leads to novel developments such as new synthetic methods or other chemical or laboratory procedures, the client agrees to recognize this contribution in some manner such as a royalty agreement or lump sum payment at a time when the novel development gives rise to a commercial product or process. This agreement will constitute a separate contract between the parties to be negotiated in good faith when the commercialization process commences. Any novel compounds or novel synthetic methods for any compounds developed by Research Directions are the property of Research Directions unless it contracts the rights to this intellectual property to another party.

Research Directions supplies compounds of known structure and purity and makes no representation regarding the pharmaceutical or pharmacological properties of these compounds. Research Directions will not be liable for any loss, damage or penalty resulting from a delay or failure to manufacture or deliver the product.
